WAIVER AND RELEASE AGREEMENT

This Waiver and Release Agreement ("Agreement") is entered into by {name} ("Participant"), with a date of birth of {dob} and residing at {address}, on behalf of themselves or, if under the age of 18, by their parent or legal guardian, and ZAXX, LLC, Zachary Kelley, Tap'd Out, and Tap'd Out Dance Studios (collectively, "Released Parties").

1. Indemnification Clause: The Participant, or their parent or legal guardian if the Participant is under 18, agrees to indemnify and hold harmless the Released Parties from any claims, damages, liabilities, costs, and expenses arising out of the Participant's operations, activities, or representations.

2. Limitation of Liability: The liability of the Released Parties, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Participant under this Agreement.

3. Intellectual Property Protection: The Participant, or their parent or legal guardian, agrees to respect and protect the intellectual property rights of the Released Parties. Unauthorized use or infringement may lead to legal action.

4. Confidentiality: The Participant, or their parent or legal guardian, acknowledges access to confidential information and agrees to maintain its confidentiality, except as required by law.

5. Dispute Resolution: Any disputes shall be resolved through mediation and, if unsuccessful, through binding arbitration according to the American Arbitration Association rules.

6. Governing Law: This Agreement is governed by Arizona law, without regard to conflict of law principles.

7. Severability: If any provision is invalid or unenforceable, it will be severed, with remaining provisions valid and enforceable.

Acknowledgment:

By signing this Agreement, I, {name}, acknowledge that I have read and understood its contents, agree to its terms, and am signing it voluntarily, either on my own behalf or as the parent/legal guardian of the Participant named herein if under the age of 18.

PHOTO AND VIDEO RELEASE FORM

For valuable consideration received, I, the undersigned, hereby grant Tap'd Out Dance Studios, its representatives, and employees the right to take, use, reuse, publish, and republish photographic pictures or video footage of me, or in which I may be included, in whole or in part, or composite or distorted in character or form, without restriction as to changes or alterations, in conjunction with my own or a fictitious name, or reproductions thereof in color or otherwise, made through any medium at the studios or elsewhere, for any purpose whatsoever, including the use of any printed matter in conjunction therewith.

1. Release of Rights: I waive any right to inspect or approve the finished product, including written copy, wherein my likeness appears.

2. Ownership and Rights: I hereby relinquish any right that I may have to the original and any copies of photographs or videos, and acknowledge that Tap'd Out Dance Studios shall have complete ownership of the same.

3. Use of Images and Videos: I hereby grant permission for Tap'd Out Dance Studios to use the photographs and videos for promotional, educational, or any other purpose, without compensation to me.

4. Release of Liability: I hereby release and discharge Tap'd Out Dance Studios from any and all claims and demands arising out of or in connection with the use of the photographs and videos, including any and all claims for libel or invasion of privacy.

Acknowledgment:

By signing this form, I, {name}, acknowledge that I have fully understood and agree to the terms of this Photo and Video Release Form. I am signing this release either on my own behalf, affirming that I am of legal age and have the right to contract in my own name, or as the parent/legal guardian of the minor participant named herein, to grant the permissions and rights described above.

TERMS AND CONDITIONS FOR MEMBERSHIP CANCELLATION WITH 30-DAY NOTICE

Please read these Terms and Conditions carefully before submitting your cancellation request for membership termination at Tap'd Out Dance Studios.

Billing Cycle: Membership fees are billed on the 1st day of each month for the upcoming month's service.

Cancellation Policy: To cancel your membership and stop future billings, a 30-day notice is required. You must submit your cancellation request at least 30 days prior to the next billing cycle to avoid being charged for the following month.

Notice Submission: Notice of cancellation must be submitted in writing through our official channels, which may include email, online form submission, or any other method specified by Tap'd Out Dance Studios.

Prorated Billing: Upon receipt of your cancellation notice, your account will be prorated based on the date the notice was submitted. Memberships are not prorated for holidays, months with shorter weeks, or studio closures. Any unused portion of the current billing cycle's membership fee will be credited back to your account. You will continue to have full access to classes for the remaining month upon receiving the 30-day notice. No refunds are provided for any portion of the membership fee.

Effective Date of Cancellation: Your membership will terminate effective 30 days from the receipt date of your cancellation notice, unless otherwise agreed upon by both parties.

Final Billing: You are responsible for any charges incurred up to the effective date of cancellation, including prorated membership fees and any outstanding dues or fees.

No Refunds for Partial Months: No refunds are provided for partial months of service. Membership fees are non-refundable once a billing cycle has commenced.

Changes to Terms and Conditions: Tap'd Out Dance Studios reserves the right to modify or update these Terms and Conditions at any time. Notice of such changes will be provided via email or through our official communication channels.

Dispute Resolution: Any disputes arising from these Terms and Conditions shall be resolved in accordance with the governing laws of the state of Arizona.

By submitting a cancellation request, you, {name}, acknowledge that you have read, understood, and agree to abide by these Terms and Conditions. You affirm that you are either the member in question, if of legal age, or the parent/legal guardian acting on behalf of a minor member. Failure to comply with these terms may result in additional charges or penalties.
